General Agency Agreement 總代理協(xié)議書 Article 1/第 1 章 General Principles/總則 THIS AGREEMENT dated the _____ day of _____ is made BETWEEN: RAINBOW CO., LTD., a company incorporated under the laws of _____, and having its registered address at _____ (hereinafter called the “Principal”); and FLORIST COMPANY LIMITED, a company incorporated under the laws of _____, and having its registered office at _____ (hereinafter called the “General Agent”). 此協(xié)議是在_____年_____月_____日在“彩虹有限公司”，一個(gè)在_____法律下注冊(cè)的公司，注冊(cè)地址在_____（此后稱為“委托人”）；和 FLORIST 有限公司，一個(gè)在____法律下注冊(cè)的公司，注冊(cè)地址為_(kāi)____（此后稱為“總代理”），之間簽署的。

　 WHEREAS: The Pincipal is desirous of acquiring from CAN-ADVANCE CO., LTD., (hereinafter called the “Seller”) the IFT technology (hereinafter called the “IFT Technology”). The Principal and the General Agent have agreed that the General Agent shall be appointed as the Principal’s sole exclusive Agent to negotiate, on behalf of the Principal, with the Seller the price and other terms and conditions for, and all other matters connected with, the acquisition of the technology by the Principal, subject to the terms and upon the conditions hereinafter set forth. NOW IT IS HEREBY AGREED as follows: 而 委托人想要從 CAN-ADVANCE 有限公司（此后稱為“賣方”）那里獲得 IFT 技術(shù)（此后稱為“IFT 技術(shù)”）。委托人和總代理已經(jīng)同意總代理將被任命為委托人的獨(dú)家代理，代表委托人，來(lái)和賣方協(xié)商價(jià)格和其它條款，及其它 委托人在獲得技術(shù)方面的事宜，以以下所約定的條款為準(zhǔn)。

　現(xiàn)在雙方約定如下：

　Article 2/第 2 章 Definitions/定義 2.1 In this Agreement, the following words or expressions shall have the meanings given to them respectively below:

　在此協(xié)議中，以下詞匯或短語(yǔ)應(yīng)分別有以下的意義：

　“Commission” means the commission payable by the Principal to the General Agent pursuant to Article 6.1 subject to the terms and conditions of this Agreeemnt. “傭金”意思是根據(jù)此協(xié)議的第 6.1 章，委托人給總代理所支付的傭金。

　“Licence Agreement” means the Technology Transfer or Licence Agreement to be entered into between the Principal and the Seller, together with all addenda, amendments and supplements made thereto from time to time and at any time, setting out the Price and other terms and conditions for the sale and transfer by the Seller of the Technology to, and the acquisition of the same by, the Principal. “許可協(xié)議”意思是在委托人和賣方之間所達(dá)成的技術(shù)轉(zhuǎn)讓或許可協(xié)議，包括為了設(shè)定銷售價(jià)格和其它條款，和賣方的技術(shù)轉(zhuǎn)讓，和由委托人獲得同樣的技術(shù)所進(jìn)行的不時(shí)的、在任何時(shí)候所有的補(bǔ)遺，補(bǔ)充和增加。

　 “Piece” means the aggregate amount of the purchase price payable by the Principal to the Seller for the acquisition of the Technology, which amount shall also include all licence fees and royalties and other payments of whatsoever nature payable to the Seller by the Principal in consideration of or in connection with the transfer of the Technology to the Principal. “價(jià)格”意味著委托人為獲得技術(shù)所付給賣方的總的購(gòu)買價(jià)格，此價(jià)格還應(yīng)包括所有委托方考慮到或和轉(zhuǎn)讓給委托方的技術(shù)有關(guān)的的所有許可費(fèi)用和版稅以及其它性質(zhì)的付給賣方的費(fèi)用。

　2.2 Clause headings are inserted for convenience of reference only and shall be ignored in the interpretation of this Agreement.

　條款的標(biāo)題的插入只是為了參考需要，在解釋此協(xié)議時(shí)應(yīng)被忽略。

　 Article 3/第 3 章 General Agency/總代理 3.1 The Principal hereby appoints the General Agent, and the General Agent hereby accepts appointment, as the Principal’s sole exclusive General Agent to negotiate, on behalf of the Principal, with the Seller, the Price and all other terms and conditions of the Licence Agreement and otherwise to act generallly on behalf of the Principal in all respects relating to, and to attend to all maters whatsoever connected with, the acquistiion of the Technology by the Principal.

　委托方在此任命總代理，并且總代理在此接受任命，作為委托方的獨(dú)家總代理，代表委托方和賣方進(jìn)行許可協(xié)議的價(jià)格和所有其它條款的談判，并且也總體作為委托方在所有委托方所要獲得的技術(shù)方面處理和關(guān)注所有的有關(guān)事宜。

　10：53/11:09 3.2 The Principal shall not, during the period of this agreement, appoint any other person or persons as Agent of the Principal to negotiate the Price or the terms and conditions of the Licence Agreement or otherwise to act in any respect on behalf of the Principal relating to, or to attend to any matter whatsoever connected with, the acquisition of the Technology by the Principal.

　委托方在此協(xié)議期間，不得任命任何其它人或人們作為委托方的代理來(lái)代表委托方協(xié)商有關(guān)許可協(xié)議的條款或以任何方式來(lái)關(guān)注和委托方獲得技術(shù)的任何事宜有關(guān)的事情。

　 3.3 The appointment of the General Agent hereunder as the sole exclusive Agent of the Principal for the negotiation of the Licence Agreeement and the acquisition by the Principal of the Technology shall be deemed, for all purposes, to have become effective as from the date of this Agreement, and shall remain effective until the date when the Price and all other terms

　and

　conditions for the acquisition of the Technology by the Principal from the Seller have been agreed and satisfactorily concluded, and Licence Agreement executed and delivery concluded, and Licence Agreement executed and delivered by all relevant Parties thereto, and the Commission paid to and received by the General Agent.

　此下任命總代理作為委托方為獲得技術(shù)的獨(dú)家代理來(lái)協(xié)商許可協(xié)議，應(yīng)被認(rèn)為從此協(xié)議今日起生效，并應(yīng)一直生效到委托方所獲技術(shù)的價(jià)格和所有其它條款得到賣方同意并滿意地完成，許可協(xié)議執(zhí)行并完成裝運(yùn)，并且許可協(xié)議由所有相關(guān)方面執(zhí)行和裝運(yùn)，傭金付給并由總代理接受為止。

　 3.4 The appointment by the Principal of the General Agent as the Principal’s sole exclusive Agent for the negotiation of the Licence Agreeement and acquisition by the Principal of the Technology shall in no way constitute, or be deemed to constitute, a partnership between the Parties hereto or a General Agency other than for the purposes stated herein.

　委托方對(duì)總代理作為委托方獨(dú)家代理來(lái)協(xié)商許可協(xié)議和委托方獲得技術(shù)的任命并不意味著構(gòu)成，或被認(rèn)為構(gòu)成，在此各方之間或除了在此所敘述的目的的總代理之間形成了伙伴關(guān)系。

　 Article 4/第 4 章 Duties of the General Agent/總代理的職責(zé) 4.1 During the continuance of this Agreement of the General Agent shall:

　在此協(xié)議持續(xù)時(shí)期，總代理應(yīng)做到：

　(1) use its best endeavors to negotiate for and obtain from the Seller the best available Price and the most favorable terms and conditions for the trasnfer to and acquisition by the Principal of the Technology, and to conclude the terms and conditions of the Licence Agreement as soon as practicable;

　盡其最大努力來(lái)協(xié)商并從賣方那里為委托方獲得此技術(shù)轉(zhuǎn)讓得到最有利的條款，并且盡快地完成許可協(xié)議的條款。

　(2) in the event of any disagreement, difference or deadlock arising between the General Agent and the Seller in the course of negotiations for the transfer and acquisition of the Technology, promptly supply to the Principal details of such disagreement, difference or deadlock, and consult with the Principal regarding the same;

　假如在總代理和賣方之間在協(xié)商技術(shù)的轉(zhuǎn)讓和獲得產(chǎn)生了任何異議，區(qū)別或僵局，應(yīng)盡快向委托方通報(bào)此異議，區(qū)別或僵局的細(xì)節(jié)，并就此和委托方協(xié)商；

　 (3) generally do all such other acts as may be in the best interests of the Principal and conductive to the conclusion of the Licence Agreement and the acquisition by the Principal of the Technology.

　總體來(lái)說(shuō)做其它類似的事宜來(lái)最大滿足委托方的利益并有助于許可協(xié)議的達(dá)成和委托方對(duì)技術(shù)轉(zhuǎn)讓的獲得。

　 4.2 During the continuance of this Agreement, the General Agent shall not without the express prior written consent of the Principal:

　在此協(xié)議執(zhí)行期間，在沒(méi)有提前得到委托方的明確的書面同意之前，總代理不得：

　(1) describe itself or hold itself out as General Agent for the Principal except in respect of or in connection with the purposes and matters for which the Agent is appointed the sole exclusive Agent of the Principal hereunder; or

　除了和委托方所代理的目的和事宜有關(guān)的獨(dú)家代理的事宜之外，不得把自己描述成或作為委托方的總代理；或者

　 (2) make any admission or settle any claim by or against the Principal, or pledge the credit of the Principal, or give any warranty or make any representation on behalf of the Principal, or commit the Principal to any obligation or liability of any kind; or

　為了或反對(duì)委托方作出任何承諾或解決任何爭(zhēng)議，或承諾委托方的信用，或代表委托方給予任何保證或作任何介紹，或使委托方肩負(fù)任何責(zé)任或職責(zé)；或者

　(3) agree with the Seller the Price and any of the terms and conditions for the transfer and acquisition of the Technology; or

　同意賣方對(duì)于技術(shù)轉(zhuǎn)讓和獲得的價(jià)格和任何條款；或者

　 (4) use for its own purposes or divulge or communicate to any person any confidential or other information which the Agent may howsoever obtain in relation to the business or other affairs of the Principal.

　為了自身目的或泄露或向其它任何人傳遞任何和代理可能從業(yè)務(wù)中或委托方那里所獲得的任何秘密或其它信息；

　 09:25-090814(FRI) Article 5/第 5 章 Duities of the Principal/委托方責(zé)任 5.1 The Principal shall, if and whenever requested by the General Agent, promptly give instructions to the General Agent regarding the Price and other terms and conditions to be agreed between the General Agent, on behalf of the Principal, with the Seller, or to be included in the Licence Agreement, or otherwise regarding any other matter concerning the transfer of the Technology to the Principal.

　委托方如果和無(wú)論何時(shí)應(yīng)總代理要求，快速給總代理以指示，關(guān)于總代理代表委托方和賣方達(dá)成的關(guān)于價(jià)格和其它條款，或者在許可協(xié)議中包括的，或者關(guān)于任何其它牽涉到給委托方的技術(shù)轉(zhuǎn)讓的事宜。

　 5.2 The Principal shall furnish the General Agent with all information concerning the

　business and other affairs of the Principal, which may reasonably be required by the General Agent from time to time, for the purpose of negotiating and concluding with the Seller the terms and conditions for the transfer and acquisition of the Technology.

　委托方應(yīng)給總代理提供關(guān)于委托方的商務(wù)和其它事宜的所有信息。此信息也許總代理不時(shí)地合理需要，為了和賣方談判和達(dá)成交易的轉(zhuǎn)讓和獲得信息的有關(guān)條款。

　Article 6/第 6 章

　Commission/傭金 6.1 The Principal hereby agrees to pay to the General Agent a Commission equal to _____ percent (_____%) of the Price, which Commission is to be paid to the General Agent in United States Dolloars on the date of execution of the Licence Agreement.

　委托方在此同意付給總代理相當(dāng)于價(jià)格的_____百分比（_____%）的傭金，傭金將在執(zhí)行此許可協(xié)議的日期以美金支付。

　6.2 The Parties hereto hereby agree that, notwithstanding anything to the contrary herein contained, the obligation on the Part of the Principal to pay the Commission in accordance with this Article 6.1 shall arise, and the right of the General Agent to receive the Commission in accordance with this Article 6.1 shall accrue, as soon as the Licence Agreeement is executed by the relevant Parties thereto, or as soon as the price and all other terms and conditions for the transfer of the Technology by the Seller to the Principal have been agreed between the Seller and the Principal.

　在此雙方同意，一旦許可協(xié)議由相應(yīng)方執(zhí)行，或者一旦賣方和委托方之間已經(jīng)達(dá)成了賣方向委托方的技術(shù)轉(zhuǎn)讓的價(jià)格和所有其它條款，根據(jù) 6.1 章，委托方的傭金支付責(zé)任業(yè)已形成，而根據(jù) 6.1 章，總代理接受傭金的權(quán)利也已形成。

　 Article 7/第 7 章 Termination/終止 7.1 The Principal shall be entitled to terminate forthwith the appointment of the General Agent under this Agreement, by giving notice in wiriting to the General Agent, if any of the following event or circumstances occurs:

　如果有以下事件或情況發(fā)生的話，委托方將以書面形式通知總代理，有權(quán)終止在此協(xié)議下與總代理的約定：

　The General Agent fails to perform or observe any of its duties or obligations under this Agreement and such non-performance or non-fulfillment is not rectified within a period of thirty (30) days after receipt by the Generall Agent of the notice from the Principal, notifying the General Agent of such non-performance or non-fulfillment.

　 總代理沒(méi)有能夠執(zhí)行或遵守在此協(xié)議下的任何其它職責(zé)或責(zé)任，并且此不執(zhí)行或不作為在收到委托方給總代理的通知后 30 天內(nèi)依然沒(méi)有得到糾正，來(lái)通知總代理此不執(zhí)行或不作為。

　 7.2 The expiration or termination of the General Agent’s appointment under this Agreement for whatever reason shall be without prejedice to any pre-existing rights and obligations of either Party hereunder.

　無(wú)論什么理由，此協(xié)議下總代理的約定的到期或終止應(yīng)對(duì)以下的任何一方的以前存在的權(quán)利和責(zé)任都沒(méi)有偏見(jiàn)。

　 7.3 Upon expiration or termination of the Agent’s appointment hereunder

　for whatever cause:

　無(wú)論什么原因，在代理的約定到期或終止時(shí)：

　(1) the General Agent shall immediately return to the Principal all notes, memoranda, records or other documents held in the possession of the General Agent relating to the business of the Principal.

　總代理應(yīng)立刻歸還給委托方所有總代理持有的，和委托方業(yè)務(wù)有關(guān)的筆記，備忘錄，記錄或其它文件。

　 (2) the Principal shall pay the Commission to the General Agent (if Commission has already accrued but not yet paid in accordance with and under the provisions of Article 6.1) within five (5) days after the termination of the General Agent’s appointment under this Agreement.

　委托方應(yīng)此協(xié)議下總代理的約定終止后的五（5）天之內(nèi)，支付給總代理傭金（根據(jù)6.1 章條款，如果傭金已經(jīng)確認(rèn)但未支付的情況下）。

　7.4 Notwithstanding the expiration or termination of the General Agent’s appointment under this Agreement for whatever cause, any terms or provision of this Agreement which is capable of being performed or observed after the date of such expiration or termination of the General Agent’s appointment under this Agreement shall survive the same and shall continue to be binding on the Parties hereto and remain in full force and effect.

　 無(wú)論什么原因，盡管在此協(xié)議下對(duì)總代理的任命已到期或終止，在此協(xié)議下總代理的任命到期或終止之后，任何協(xié)議下的能夠執(zhí)行或遵守的條款或條件，應(yīng)依然存在，并將對(duì)雙方均有約束力且完全有效。

　 Article 8/第 8 章 Sub-Agency or Assignment/分代理或任務(wù) 8.1 The General Agent shall not, without the express prior written consent of the Principal, assign or transfer any of its obligations or duites hereunder and shall not appoint sub-agents. However, if the principal approves the appointment of sub-agents by the General Agent, any such appointment of a sub-agent shall not relieve the General Agent of any of its obligations and duties hereunder.

　在沒(méi)有委托方的明確書面同意之前，總代理不應(yīng)把分配或轉(zhuǎn)讓在此項(xiàng)下的責(zé)任或職責(zé)并不應(yīng)任命分代理。然而，如果委托方批準(zhǔn)總代理對(duì)分代理的任命，任何對(duì)分代理的任命不應(yīng)解除總代理的以下的任何責(zé)任和職責(zé)。

　 8.2 The Principal shall not assign or transfer any of its rights, obligations or liabilities hereunder without the express prior wirtten consent of the General Agent.

　在沒(méi)有總代理的明確書面通知下，委托方不應(yīng)布置或轉(zhuǎn)讓其以下的任何權(quán)利，責(zé)任或法律責(zé)任。

　 8.3 This Agreement shall be binding upon, and ensure to the benefit of, the Principal and the General Agent, and their repsective successors.

　此協(xié)議應(yīng)對(duì)委托方和總代理，和它們的相應(yīng)繼任者均有約束力并保證其利益。

　 Aritcle 9/第 9 章 Amendments/修改 This Agreement contians the entire agreement and understanding between the Principal and the General Agent relating to the acquisition of the

　Technology by the Principal, and supersedes all previous agreements or arrangements between the Principal and the General Agent relating to the acquisition of the Technology by the P:rincipal which shall henceforth cease and terminate with effect from the date hereof. This Agreeement may not be amended or modified except by written instrument signed by each of the Parties hereto. 此協(xié)議包含關(guān)于委托方對(duì)技術(shù)的獲取在委托方和總代理之間的整個(gè)協(xié)議和理解，并取代所有先前的在委托方和總代理之間的關(guān)于委托方對(duì)技術(shù)的獲取的應(yīng)在此簽署日停止和終止的協(xié)議或安排。除非有任何一方所簽署的書面文件，此協(xié)議不得補(bǔ)充或修改。

　 Article 10/第 10 章 Governing Law/適用法律 It is understood that all the provisions hereof are in accordance with relevant laws, decrees and regualtions of __________ existing at the time of the signing. However, if a material change occurs to either Principal or General Agent’s economic benefits after the effective date hereof due to the promulgation of new laws, rules and regulations or any amendment to the applicable laws, rules and regulations made by the __________, the Principal and General Agnet shall consult promptly and make necessary amendments or adjustments to the articles concerned herein in order to maintain the Parties’ normal economic benefits hereunder. 雙方理解，在簽署之日，在此所有條款都基于__________的相關(guān)法律，法令和法則。然而，在有效之日后，由于頒布了新的法律，規(guī)則和規(guī)定或由___________對(duì)適用法律，規(guī)則和規(guī)定進(jìn)行了修補(bǔ)，而造成對(duì)委托方或總代理的經(jīng)濟(jì)利益有了實(shí)際變化，委托方和總代理應(yīng)快速協(xié)商，為了保持雙方的正常經(jīng)濟(jì)利益對(duì)所牽涉的條款進(jìn)行必要的修補(bǔ)或調(diào)整。

　 Article 11/第 11 章 Dispute Resolution/爭(zhēng)議解決 11.1 All disputes arising from the implementation for related hereto preferably shall be settled through friendly consultation between the Principal and General Agent.

　所有由于執(zhí)行此協(xié)議所造成的爭(zhēng)議應(yīng)最好通過(guò)友好協(xié)商在委托方和總代理之間解決。

　11.2 If consultation fails to settle the disputes, mediation may be held at _____. All disputes shall be finally settled by arbitration at ________ in accrodance with its rules of International Arbitration.

　如果解決爭(zhēng)議的協(xié)商失敗，可以在_____進(jìn)行調(diào)解。所有的爭(zhēng)議應(yīng)在_____根據(jù)其國(guó)際仲裁規(guī)則由仲裁最終解決。

　 11.3 When any dispute occurs and when such dipsute is under arbitration, except for the part under dispute that is subject to arbitration, the Principal and Gneneral Agent must continue to exercise their respective rights and perform their respective obligations in accordance with the provision hereof.

　當(dāng)任何爭(zhēng)議出現(xiàn)，并且此爭(zhēng)議在仲裁之下，除了爭(zhēng)議的部分需要仲裁，委托方和總代理應(yīng)該繼續(xù)享有其在此項(xiàng)下的各自權(quán)利并履行各自的職責(zé)。

　 11.4 The arbitration award shall be final and binding on the Principal and General Agent. The cost of arbitration (excluding the fees for the respective appointment of lawyers by either of the Parties) shall be borne by the losing Party or in accordance with the ruling of the arbitrator(s).

　仲裁結(jié)果對(duì)委托方和總代理應(yīng)是終局并有約束力的。仲裁的費(fèi)用（除了任何一方所任命的各自的律師的費(fèi)用）應(yīng)由敗訴方承當(dāng)或根據(jù)仲裁者的判決。

　 Article 12/第 12 章 Languages/語(yǔ)言 This Agreement shall be executed in English and Chinese texts. Both versions shall be official texts. 此協(xié)議將用英文和中文文本。兩版本無(wú)謂官方版本。

　 Article 13/第 13 章 Notices/通知 13.1 Every notice, request, or other communication under this Agreement shall be in writing, but may be given or made by letter, telegram.

　 此協(xié)議下的每個(gè)通知，請(qǐng)求或其它通訊應(yīng)由書面形式進(jìn)行，但可以由信件，電報(bào)發(fā)送或進(jìn)行。

　 13.2 Every notice, request, or other communication shall be sent, in the case of a letter, telegram, to the other Party at its address herein before stated, or such other addresss as that Party may have previously notified the other.

　在信件，電報(bào)的形式下，每件通知，請(qǐng)求或其它函電應(yīng)根據(jù)此前敘述的地址發(fā)給另一方，或根據(jù)一方可能已事先通知的地址發(fā)送。

　 IN WITNESS WHEREOF the Parties hereto have executed this Agreement the day and year first above written. 作為見(jiàn)證人，雙方在上述日期年月日?qǐng)?zhí)行此協(xié)議。
