　*************** Government wants to solve its waste problems in ***************, to build modern waste incineration power plant ,to improve the environment quality in ***************,to benefit the local citizen ,even the whole Egypt.

　*****************公司是一家投資、建設(shè)、運(yùn)營、維護(hù)生活垃圾焚燒發(fā)電、垃圾收運(yùn)、填埋氣處理、污泥處理、餐廚垃圾處理、危險(xiǎn)廢棄物處理、建筑垃圾處理、污水處理等項(xiàng)目和垃圾焚燒發(fā)電成套設(shè)備、環(huán)保成套設(shè)備研發(fā)、生產(chǎn)和銷售的環(huán)保新能源企業(yè)。

　is an environmental protection & new energy enterprise engaging in investment, build, operation and maintenance of MSW incineration power generation and steam manufacture, waste sorting &collection; waste to biogas; sludge treatment, food waste treatment, hazardous waste treatment, construction waste treatment, wastewater treatment etc., with the focus on R & D, manufacture and sales of waste incineration power generation complete equipment.

　 雙方就所述項(xiàng)目達(dá)成并將遵守如下協(xié)議：

　Both parties have agreed upon the following conditions regarding the above mentioned projects and shall abide by such conditions.

　 1 項(xiàng)目概況 PROJECTS GENERAL

　 1.1

　項(xiàng)目名稱：***************的 4000 噸/天城市生活垃圾焚燒發(fā)電項(xiàng)目。

　Project name: 4000 T/D municipal solid waste to power project in *************** .

　1.2 項(xiàng)目概況：本項(xiàng)目主要處理**********************的城市生活垃圾。項(xiàng)目規(guī)模為 4000 噸/日，投資類型為 BOT 方式項(xiàng)目建設(shè)期為 18 個(gè)月（土建開挖開始計(jì)算）. Project overview: This project focuses on municipal solid waste treatment in *************** ,Egypt. Project Capacity is 4000 tons/day by BOT style. Construction time is 18 months (calculated from the day of Civil engineering excavation). 1.3

　Main processes of Project 項(xiàng)目主要工藝:

　(1)焚燒發(fā)電系統(tǒng)：“機(jī)械爐排式垃圾焚燒爐+余熱鍋爐+汽輪發(fā)電機(jī)組”。

　Incineration power generation system: “Mechanical grate type waste incinerator + waste heat boiler + turbine generator set”. (2) 煙氣處理系統(tǒng)：“SNCR+半干法+干法＋活性炭吸附＋布袋除塵器”。

　Flue-gas treatment system: SNCR+ semi-dry method + dry method+ activated carbon adsorption + bag-house filter. (3) 飛灰處理系統(tǒng)：水泥+螯合復(fù)合固化。

　Fly ash treatment system: cement + chelate compound solidification

　(4) 滲濾液處理系統(tǒng)：UASB+A/O+UF+NF+RO Leachate treatment system: UASB+A/O+UF+NF+RO

　(5) 廢氣與污水排放要達(dá)到*******的國家標(biāo)準(zhǔn) The flue gas emission and waste water discharge shall reach current Egypt standards.

　 2. 項(xiàng)目條件 Project condition

　 2.1 甲方承諾確保項(xiàng)目條件如下：

　Party A shall promise to ensure the project

　conditions as follows: （1）

　垃圾保底量：4000t/d Promised waste capacity:4000t/d (2)

　項(xiàng)目投資方式：BOT 方式 Project investment Mode:

　BOT

　 (3) 項(xiàng)目特許經(jīng)營權(quán)：30 年;

　Government concession period: 30 years

　 （4）處置費(fèi)：

　＿＿＿美金每噸

　Tipping Fee：＿＿＿

　 USD /Ton （5）上網(wǎng)電價(jià)：**** USD/kwh

　 Electricity price selling to the state grid: *** USD/kwh （6）土地：***公頃，政府免費(fèi)提供。

　Land :***8 HA, provided by the *************** government by free （7）三通一平：政府負(fù)責(zé)項(xiàng)目三通一平。

　-************政府負(fù)責(zé)建設(shè)并接通電、自來水到連接站（項(xiàng)目的圍墻邊）。

　-電氣連接：雙方（購電方和項(xiàng)目公司）需商量同意電力連接站的位置。

　購電方負(fù)責(zé)建設(shè)輸電線路到連接站。

　-路：************政府負(fù)責(zé)建設(shè)并接通道路到連接站（項(xiàng)目的圍墻邊）。

　-場地平整：************政府負(fù)責(zé)項(xiàng)目使用用地的土地平整； Water/electricity/Road/land leveling: The *************** government shall be responsible for Water/electricity/Road/land leveling to reach the project demand. --Water：The *************** government is responsible for the construction and connection of electricity and tap water to the connected station (enclosure of the power plant).

　- Electrical connection: the power purchaser and project company should discuss and mutually agree on the location of power connection station.

　- Road: The *************** government is responsible for the construction and connection of road to the connected station (enclosure of the power plant).

　--Land leveling；The *************** government is responsible for the WTE project Land leveling. （8）垃圾收運(yùn)：由政府部門負(fù)責(zé)收集運(yùn)輸至垃圾焚燒發(fā)電廠的垃圾坑內(nèi)，垃圾收運(yùn)費(fèi)用由************政府負(fù)責(zé)。

　Waste delivering: The *************** government shall be

　responsible for collecting & delivering the waste to the waste pit in the power plant,and the *************** government shall bear the waste collecting & delivering cost. （9）飛灰處置：飛灰產(chǎn)生的量為垃圾處理量的 3%，甲方負(fù)責(zé)運(yùn)輸飛灰到填埋場填埋。

　Fly ash treatment: The capacity of fly ash is about 3% of the waste putting into the furnace,

　Party A shall be responsible for transporting the fly ash to landfill. (10)

　 爐渣處置：＿＿＿＿ Bottom ash treatment: ＿＿＿＿ （11）政府負(fù)責(zé)建設(shè)污水池，用于免費(fèi)接收垃圾電廠達(dá)標(biāo)的排污水。

　The Government shall be responsible for constructing sewage pool for collecting the discharging water(reach the discharging standard) from WtE plant for free. （12）稅收政策: 根據(jù)*******現(xiàn)行稅法，本項(xiàng)目適用以下稅率：

　-前 10年免稅（產(chǎn)生應(yīng)納稅務(wù)年度開始）。

　-接下來 20年繳納應(yīng)納稅額的 50％。

　- 設(shè)備進(jìn)口關(guān)稅：0％;免除一切設(shè)備進(jìn)口稅； Tax holiday: In accordance with the Egypt tax policy, the *************** WTE project shall enjoy the following tax holiday: - Tax free for the first 10 years (from the year incurs taxes)

　- Tax reduction by 50% for the following 20 years.

　- Equipment import Duty: 0%,free of all the duties.

　2.2 主權(quán)擔(dān)保：

　2.2 sovereign guarantee: ************政府應(yīng)確保*******政府（或*******政府授權(quán)財(cái)政部）對這個(gè)項(xiàng)目提供主權(quán)擔(dān)保：

　*************** government shall ensure that the ******* (or the Ministry of Finance authorized by the *******) provide a sovereign guarantee for the project:

　 （1）

　*******政府（或*******政府授權(quán)財(cái)政部）為該項(xiàng)目提供主權(quán)擔(dān)保，擔(dān)保范圍應(yīng)為本項(xiàng)目（包括但不限于垃圾處理BOT協(xié)議、購售電PPA協(xié)議下************政府廢物管理組織和電力部等應(yīng)承擔(dān)的所有義務(wù)），擔(dān)保內(nèi)容和形式由貸方同意。

　The ******* (or the Ministry of Finance authorized by the *******) shall provide a sovereign guarantee for the project, the coverage shall be

　for the waste to power project ,including but not limited to all the obligations bore by

　*************** waste management organization and power bureau

　under the term of

　 BOT protocol & PPA protocol, the content and form shall be accepted by credit side.

　（2）*******政府（或*******政府授權(quán)財(cái)政部）應(yīng)該在在簽訂BOT合同日期或之前就本項(xiàng)目簽訂政府擔(dān)保協(xié)議。

　The ******* (or the Ministry of Finance authorized by the *******)

　shall sign sovereign guarantee

　agreement for the project

　upon the date of

　signing

　the BOT contract

　 or

　before the date of signing BOT contract.

　2.3 甲乙雙方將各自承擔(dān)為取得本生活垃圾焚燒發(fā)電項(xiàng)目所產(chǎn)生的前期費(fèi)用。

　Each Party shall take its own responsibility respectively for the initial cost to obtain the MSW incineration power plant project

　3 雙方權(quán)利義務(wù) RIGHTS AND RESPONSIBILITIES

　 3.1 甲方負(fù)責(zé)按照本合同中第二款要求的項(xiàng)目條件推進(jìn)項(xiàng)目，并負(fù)責(zé)如下事宜 Party A shall ensure to push forward the project as stated by article 2,and be responsible for the following:

　 （1）

　負(fù)責(zé)提供項(xiàng)目相關(guān)數(shù)據(jù)（垃圾組份、濕度等），協(xié)助獲取項(xiàng)目相關(guān)申請，獲得相關(guān)許可。

　 Be responsible for providing project data (waste composition, moisture, etc.),

　 provide support for applying for government approval, and relative licenses. （2）

　負(fù)責(zé)從相關(guān)部門獲得項(xiàng)目的環(huán)評批復(fù)及經(jīng)營特許權(quán)

　Be responsible for obtaining the Environment permission license & project concession from the relative department. （3）

　負(fù)責(zé)獲取項(xiàng)目啟動所需要的批文（投資許可證/土地使用證/施工許可證等）

　Be responsible for obtaining all other needed licenses(investment license /land use license/construction permit license etc)

　負(fù)責(zé)與當(dāng)?shù)卣熬用癖３譁贤?lián)系

　Be responsible for communicating with government & local people.

�。�5）

　確保乙方成立項(xiàng)目公司與相關(guān)政府部門簽訂 BOT 協(xié)議

　Ensure signing the BOT contract between project company registered by party B and the government. （6）

　確保乙方成立項(xiàng)目公司與當(dāng)?shù)仉娏趾炗嗁忞娙刖W(wǎng)協(xié)議

　Ensure signing the PPA contract between project company registered by party B and power bureau.

　（7）

　負(fù)責(zé)項(xiàng)目用地的提供

　Be responsible for supplying the project land. （8）

　取得開工報(bào)告;負(fù)責(zé)項(xiàng)目試生產(chǎn)批復(fù)及竣工驗(yàn)收辦理

　 Be responsible for construction license &project acceptance （9）

　其他（比如說部分項(xiàng)目投資，等等）

　Others (such as parts of project investment etc.)

　 3.2*****************公司應(yīng)：

　Party B shall be responsible for the following:

　負(fù)責(zé)項(xiàng)目的方案制定及項(xiàng)目咨詢 Be responsible for project proposal and project consulting （2）

　負(fù)責(zé)發(fā)電廠的設(shè)計(jì)及土建 Be responsible for WTE power plant design and civil work. （3）

　負(fù)責(zé)設(shè)備設(shè)計(jì)、制造及設(shè)備運(yùn)輸 Be responsible for equipment design, manufacturing and delivering. （4）

　負(fù)責(zé)設(shè)備安裝、調(diào)試 Be responsible for equipment installation, commissioning. （5）

　負(fù)責(zé)部分項(xiàng)目投資 Be responsible for part of project investment. （6）

　負(fù)責(zé)解答地方上對項(xiàng)目技術(shù)問題的質(zhì)詢

　Be responsible for solving the technical enquires from the local area. （7）

　負(fù)責(zé)項(xiàng)目運(yùn)營管理 Be responsible for project operation.

　3.3

　 項(xiàng)目推進(jìn)時(shí)間表 Project promoting schedule

　雙方一致同意，按照如下項(xiàng)目進(jìn)程推進(jìn)項(xiàng)目。

　Both Parties agreed to promote the project in accordance with the following project progress.

　4 協(xié)議生效與終止 VALIDATION AND TERMINATION 、

　4.1 本協(xié)議自雙方簽字后正式生效，有效期 3 年，簽字方可為法人或（經(jīng)法人書面形式授權(quán)的）授權(quán)代表。雙方將竭力完成協(xié)議規(guī)定的責(zé)任義務(wù)。整個(gè)項(xiàng)目完成時(shí)，該協(xié)議方可終止。

　This Agreement shall come into full force with 3 years after the Agreement is signed by the Parties, represented by their juristic person or authorized representative (through written authorization by the juristic person). Parties shall endeavor to fulfill their responsibilities under the Agreement. The Agreement shall be terminated upon the completion of the whole project. 4.2 如發(fā)生如下任意一種情況，本協(xié)議將自動終止：

　A、甲乙雙方簽訂新的合作協(xié)議（如 BOT 協(xié)議等）取代本協(xié)議；

　B、本協(xié)議 3 年有效期到期，甲乙雙方無意再簽訂新的 MOU；

　C、甲乙雙方合作期內(nèi)，一方不作為，導(dǎo)致另一方遭受重大損失；

　D、其他法律規(guī)定的情形； 4.2 in the event of any of the following circumstances, this agreement will terminate automatically: A, Party A and Party B sign new cooperation agreements (such as BOT agreement etc.) to replace this agreement; B This agreement (3years) expires , but neither party intends to sign a new MOU; C, During the period of cooperation between Party A and Party B, one party fails to act, which causes the other party to suffer heavy losses; D other circumstances as provided by law;

　 5 排他性 EXCLUSIVITY 該協(xié)議生效后，*****************公司將為************政府提供相關(guān)生活垃圾治理系統(tǒng)技術(shù)與方案設(shè)計(jì)；************政府將指定*****************公司為治理***************生活垃圾唯一合作伙伴。

　After the Agreement becomes effective, *************** shall supply Municipal solid waste treatment system technology & technical proposal(WTE) for *************** Government; and *************** Government shall give *************** the exclusive right to treat the Municipal solid waste（waste to power）in ***************.

　6 保密性 Confidentiality

　6.1 在未得到另一方書面同意的情況下，收到機(jī)密信息的任何一方不能將信息公之于眾或透露給第三方或第三國，也不能復(fù)印任何信息作為除善意目的外的其他用途。

　The Party in receipt of Confidential Information shall not make public or disclose Confidential Information to any Third Party or country or make or allow copies to be made or use it other than for bona fide purposes connected with the Agreement without the prior written consent from the other Party.

　6.2 機(jī)密信息包括，但不限于該協(xié)議書所規(guī)定的條款和條件、商業(yè)和技術(shù)文件，及與此項(xiàng)目相關(guān)的建議書。The Confidential Information includes but is not limited to the terms and conditions of this Agreement,commercial and technical documents and/or proposals pertinent to the Project.

　6.3 如任意一方違背此條款，違約方將對另一方因此所造成的所有傷害進(jìn)行賠償。

　In case that any party breaches this stipulation, the default party shall compensate any and all damages suffered by the other party arising from the breach.

　 7 適用法律 APPLICABLE LAW 該協(xié)議書依據(jù)中華人民共和國法律管轄和解釋。

　The Agreement is governed by and is to be construed in accordance with the laws of People’s Republic of China.

　8 解決紛爭 DISPUTE SETTLEMENTS

　凡因本合同引起的或與本合同有關(guān)的任何爭議應(yīng)通過友好協(xié)商進(jìn)行解決。如未能達(dá)成和解合同，任何一方均有權(quán)將爭議提交上海國際仲裁中心按照申請仲裁時(shí)現(xiàn)行有效的仲裁規(guī)則進(jìn)行仲裁. Any dispute arising from or in connection with this Contract shall be settled through friendly negotiation. In case no amicable settlement agreement can be reached, any party may submit the dispute to the Shanghai International Arbitration Centre for arbitration which shall be conducted in accordance with the arbitration rules in effect at the time of applying for arbitration.

　9 溝通交流 COMMUNICATIONS 所有關(guān)于給予、發(fā)布及接收批準(zhǔn)、證書、同意書、決策、通知和請求等相關(guān)信息都要通過當(dāng)面（收到另一方起）、郵政/快遞、或以下電子方式進(jìn)行書面交流：

　All communications regarding giving, issuing or receiving of approvals, certificates, consents, determinations, notices and requests shall be in writing and delivered by hand (upon receipt of the other party), mail/courier, or the following electronic method:

　 10 語言和對應(yīng)執(zhí)行 Language and execution in counterparts

　10.1 該協(xié)議使用語言為英語。該語言有同等效力。如在合同文本中出現(xiàn)英語句式不通的情況下，文本內(nèi)容將比通順度優(yōu)先考慮。

　The Agreement is written in English. This language is legally of equal effect. In the event of any inconsistency in the English text of the Contract, this language text shall prevail to the extent of the inconsistency. 10.2 該協(xié)議共有 4 份，每個(gè)參與方將有 2 份，每一份都將有同等法律效力。

　The Agreement will have 4 duplicate copies, each participant will hold 2copy and each of them is legally of equal effect.

　11 其他保證 FURTHER ASSURANCES

　如為達(dá)到以上所述權(quán)利和協(xié)議涉及的相關(guān)事務(wù)需要，雙方將履行其他職能鼎力配合。

　The parties shall do and execute all such further acts, things and documents as are reasonably required to give full effect to the rights given and the transactions contemplated by the Agreement.

　以資證明，協(xié)議經(jīng)簽字當(dāng)日即刻生效。

　IN WITNESS WHEREOF, the Agreement shall be valid as of the date first signature.
